RWS, 10/02/2026Berner Fleck Wettich advises BRLO on acquisition of ROY Kombucha

The Berlin-based brewery BRLO (brlo.de) is further expanding its involvement in the non-alcoholic segment and has acquired ROY Kombucha (roykombucha.com) as of February 1, 2026. The ROY Kombucha brand will remain in place and will be further developed under the umbrella of BRLO. Through the merger, both brands will combine their strengths and aim to provide new impetus in the beverage segment – particularly in the fast-growing category of non-alcoholic, conscious beverages. ROY founder Fabio Carlucci will remain with the company and take over the management and strategic development of ROY at BRLO.

Since entering the market at the end of 2019, ROY Kombucha has stood for hand-brewed, high-quality kombucha from Berlin. ROY has produced and scaled this trendy drink, which is based on fermented tea and high-quality organic ingredients, in-house from the very beginning. The product range includes classic and innovative flavors such as ginger, raspberry, strawberry & basil, and cucumber & mint, as well as regular limited editions. ROY products are available in 0.33l cans, returnable bottles and as a “do it yourself” kombucha brewing kit for home use.

For BRLO, this merger means a strengthening of the team and a strategically important expansion of the product range to include premium non-alcoholic beverages that meet the growing demand in retail, gastronomy, and among end consumers for conscious, tasty alternatives to classic soft drinks.

RWS, 23/12/2025Berner Fleck Wettich advises owner upon sale of Heymanns IT-Solutions to Dutch Odin Group

The Dutch managed service provider (MSP) Odin Groep has acquired Heymanns IT-Solutions GmbH (“Heymanns IT-Solutions”). Founded in 1993 by Oliver Heymanns, Heymanns IT Solutions has established itself as a managed service provider in the German market and operates from four locations in Willich, Berlin, Munich, and Riga (Latvia).

Heymanns IT-Solutions primarily operates in the Microsoft Azure cloud, offers various cybersecurity services (operation of anti-malware solutions, pen tests, network scans), and also provides its customers’ employees with PC clients. Heymanns IT-Solutions relies on an AI-based IT platform developed in-house for largely automated desktop setup and system monitoring. Backup and restore processes require just as little manual intervention as identity and access management.

With the acquisition of Heymanns IT-Solutions, the Odin Groep is expanding its presence in Germany and strengthening its managed services portfolio, particularly in the areas of cloud, cyber security, digital workplaces, and AI.

The publicly traded Atlas Copco Group, based in Nacka, Sweden, has acquired EAS Engineering Automation Systems GmbH (“EAS”), a company specializing in automated quotation solutions based in Kirchhundem, Germany. With the purchase of EAS, Atlas Copco is expanding its expertise in the field of automated quotation creation. EAS offers highly specialized software to support the development and automation of configure, price, quote (CPQ) solutions. CPQ is primarily used for complex, customer-specific, process-critical solutions and all applications where speed, accuracy, and efficiency in quotation creation and sales process management are essential.

EAS has customers from various industries, particularly in the fields of mechanical engineering, special-purpose machinery, and plant construction. Its customer portfolio includes small, medium-sized, and large companies that offer, manufacture, and deliver complex, customized products.

The HUESKER Group, one of the world’s leading manufacturers of geosynthetics and technical textiles headquartered in Gescher (North Rhine-Westphalia), has acquired Sineco International, a family-owned company based in Milan, Italy, which has been producing and distributing advanced solutions for the environment, building construction and civil engineering for over 40 years. The transaction was completed on April 3, 2025.

With the acquisition of the Italian technology leader Sineco International, HUESKER now offers its own high-quality drainage and dewatering products. This strengthens HUESKER’s market position as a quality and technology leader for geosynthetic applications.

RWS, 01/04/2025Berner Fleck Wettich advises Iqony on acquisition of district heating stake

Iqony GmbH (Iqony) has announced that it is acquiring the 49% stake in Iqony Fernwärme GmbH held by MEAG Munich Ergo Asset Management GmbH. With the takeover, Iqony will become the sole shareholder of Iqony Fernwärme GmbH. The transaction is subject to approval under foreign trade law.

Iqony Fernwärme operates a district heating network in Bottrop, Essen and Gelsenkirchen with a total length of around 740 kilometers. The almost 160 employees generate a turnover of around 210 million euros. With the complete takeover, Iqony is taking account of the exposed strategic importance of the business area within the company and for society as a whole.

RWS, 13/12/2024Berner Fleck Wettich advises Schulte family on succession solution for HJS Emission Technology and entry of DEUTZ

Hermann Josef Schulte, shareholder, managing director and founder of the family-owned company HJS Emission Technology GmbH & Co. KG from Menden / Sauerland, has signed an agreement with the listed company DEUTZ AG from Cologne for the acquisition of 50% of the shares in HJS Emission Technology by DEUTZ. With this step, the two companies are further expanding their long-standing partnership and pooling their expertise in order to drive forward the development of efficient and environmentally friendly technologies even more intensively. Upon completion of the transaction, Hermann Josef Schulte will hand over the management of the company to the future CEO Robin Trompetter and will remain active as an advisor and consultant for HJS Emission Technology; in addition, the Schulte family will remain a major shareholder in HJS Emission Technology.

Completion of the transaction is still subject to approval by the relevant antitrust authorities in Germany and Austria and is expected by early 2025.

RWS, 19/09/2023Berner Fleck Wettich advises advises Euro Serve Media on capital increase of 11880 Solutions AG and contribution of Ormigo

11880 Solutions AG has resolved a capital increase from authorized capital against contributions in kind. Euro Serve Media GmbH (“ESM”), which belongs to the Müller Medien family of companies, which in turn holds a majority stake in 11 88 0 Solutions AG via its holding company united vertical media GmbH, contributed the “pay per lead” provider Ormigo GmbH, based in Cologne, to 11880 Solutions AG as a contribution in kind in return for 1 million new shares.

With the acquisition of Ormigo GmbH, 11880 Solutions AG aims to develop the “pay per lead” business field more strongly, accelerate growth in this area and save costs for the further development of the business.

For its entry into the German market, 2.6 billion euros flow to the Kommunale Beteiligungsgesellschaft (KSBG).
